Terms of Service
Effective date: July 1, 2026. Last updated: July 1, 2026.
Please read these Terms carefully. They are a binding agreement between you and Viraldico and govern your use of the Service. A few things to know: paid plans are sold by our Merchant of Record and renew automatically until canceled (Section 6); you keep ownership of your content but grant us a license to operate the Service (Section 7); the Service is provided "as is" with limits on our liability (Sections 13 and 14); and disputes are governed by the law stated in Section 17, without taking away mandatory consumer protections you have where you live.
1. Agreement to these Terms
These Terms of Service ("Terms") are a legal agreement between you and Viraldico d.o.o. ("Viraldico," "we," "us," or "our"), a limited-liability company organized under the laws of the Republic of Serbia, registered office at BK 15, Niš, Serbia. They govern your access to and use of the Viraldico platform, website, and related services (the "Service").
By creating an account, joining a club, purchasing a subscription, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, please do not use the Service.
2. Definitions
In these Terms:
- "Member" means a person with a Viraldico account.
- "Host" means a Member who creates or organizes a club.
- "Librarian" means a staff member of an institution that hosts clubs through the librarian console.
- "Library Participant" means a person who takes part in a library-hosted club, who may participate without an account.
- "Content" means anything you submit to the Service, including club details, messages, ratings, reviews, and shelves.
- "Payment Processor" means our Merchant of Record, Paddle (Paddle.com Inc. for buyers in the United States, or Paddle.com Market Limited, registered in England and Wales, for buyers elsewhere), which sells and processes paid subscriptions as described in Section 6.
3. Eligibility and accounts
3.1 Eligibility
You must be at least 16 years old to create a Viraldico account, and you must have the legal capacity to enter into these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" includes that organization.
3.2 Your account
You are responsible for the information you provide, for keeping your login credentials secure, and for activity that occurs under your account. Tell us promptly at the contact address in Section 21 if you suspect unauthorized use. You may not share your account in a way that misrepresents who is using it, and you may not create an account using someone else's identity.
3.3 Accountless participation
A Library Participant may take part in a library-hosted club without creating an account, in library-mediated mode. In that mode these Terms still govern acceptable use of the Service, but the account-specific provisions, such as Section 3.2, do not apply because no account is created. As described in our Privacy Policy, we do not collect a personal reading history for participants in this mode.
4. The Service
Viraldico helps real-life book clubs run their logistics and gives readers a personal bookshelf. Depending on your plan and role, the Service may let you create and join clubs; manage rosters, meetings, reminders, RSVPs, and book votes; keep a personal "spine shelf" with genre, mood, and half-star ratings; use and pin discussion guides; import a library from another service; and follow links to buy or borrow books. Libraries can additionally host their own clubs through the librarian console, track book-club kits, and produce aggregate program reports.
We may add, change, or remove features over time. The Service is deliberately calm by design: it does not include advertising, "streaks" or badges, an algorithmic feed, or artificial-intelligence features that profile you or generate content from your reading data.
5. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose, or in violation of these Terms;
- Harass, threaten, defame, or harm other people, or post content that is unlawful, hateful, or infringing;
- Upload content you do not have the right to share, or that infringes someone else's intellectual-property or privacy rights;
- Attempt to access accounts, data, or systems you are not authorized to access, or probe, scan, or test the security of the Service without our written permission;
- Scrape, harvest, or systematically extract data from the Service, or use it to build a competing dataset or to train machine-learning models;
- Interfere with or disrupt the Service, introduce malware, or place an unreasonable load on our infrastructure;
- Misrepresent your identity or affiliation, or use the Service to send spam or unsolicited messages.
Hosts and Librarians are responsible for running their clubs respectfully and lawfully, including being transparent with members about meeting details they choose to share.
6. Subscriptions, pricing, and billing
6.1 Plans
Viraldico offers a free tier and paid plans. Current plans and standard prices are:
| Plan | Price | For |
|---|---|---|
| Viraldico Free | Free | One club, up to a set number of members; the free starter tier |
| Plus | $5 / month or $50 / year | Individual readers and hosts who want more than the free limits |
| for Work | $300 / year | Workplace and organizational book clubs |
| for Libraries | Custom | Public libraries and institutions; typically a free pilot, then custom pricing |
Plan features and limits are described on our website at viraldico.com/pricing, which forms part of these Terms. We may change plans, features, and prices as described in Section 6.6.
6.2 Merchant of Record
Paid subscriptions are sold and processed by our Payment Processor, Paddle, acting as Merchant of Record. This means that, for your purchase, the Payment Processor is the seller of record: your purchase is subject to the Payment Processor's buyer terms (currently at paddle.com/legal/checkout-buyer-terms), and the Payment Processor handles billing, receipts, and applicable taxes. Your payment information is handled by the Payment Processor under its own privacy policy, as described in our Privacy Policy. We do not receive or store your full payment-card details.
6.3 Automatic renewal
Paid subscriptions renew automatically at the end of each billing period, monthly or annual, at the then-current price, using your payment method on file, until you cancel. By subscribing, you authorize the Payment Processor to charge you on this recurring basis.
6.4 Cancellation
You may cancel at any time through your account settings or the Payment Processor's management link in your receipts. When you cancel, your plan remains active until the end of the current paid period, and it does not renew after that. Canceling stops future charges. See Section 6.5 on refunds.
6.5 Refunds
Except where required by law or stated otherwise, payments are non-refundable, and we do not provide refunds or credits for partial periods. Where you have a statutory right of withdrawal or a consumer refund right, that right is not affected by this section. Refunds, where granted, are processed by the Payment Processor.
6.6 Price and plan changes
We may change prices and plan features. For recurring subscriptions, we will give you reasonable advance notice of a price change before it applies to your next renewal, so you can cancel before being charged the new price if you do not accept it. Changes do not affect a period you have already paid for.
6.7 Taxes
Prices may be shown exclusive or inclusive of tax depending on your location. The Payment Processor calculates, collects, and remits applicable sales tax, VAT, or equivalent as part of checkout.
7. Your content
7.1 You own your content
You keep all rights you have in your Content. We do not claim ownership of your shelves, reviews, ratings, club details, or messages.
7.2 License you grant us
To operate the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and transmit your Content solely to provide and maintain the Service for you and the clubs and libraries you participate in. This license ends when you delete your Content or your account, except for Content others have re-shared within their own clubs, and except for residual backups that are deleted in the ordinary course. We do not use this license to sell your Content, show advertising, or train artificial-intelligence models.
7.3 Content shared with clubs and libraries
When you contribute Content to a club, other members and the host of that club can see and use it within the Service. Think before you share anything you would not want others in your club to see.
7.4 Feedback
If you send us suggestions or feedback, you grant us the right to use them without restriction or obligation to you.
8. Hosts, clubs, and library-hosted clubs
Hosts and Librarians organize clubs and may see information members contribute to those clubs. Where a library or institution uses Viraldico to host clubs, additional institutional terms and a Data Processing Agreement apply between Viraldico and the institution, and they govern the institution's use, patron-data handling, and any pilot arrangement. The accountless, aggregate-by-default design described in our Privacy Policy applies to library-hosted clubs. Nothing in a member's individual Terms reduces the protections set out in an institution's agreement.
9. Third-party services and links
The Service links to third-party services, for example Bookshop.org and Libro.fm (which may be affiliate-tagged, so we may earn a commission), library catalogs, and our Payment Processor's checkout. We do not control these services, we are not responsible for them, and your use of them is governed by their own terms and privacy policies. Affiliate links never change the price you pay, and following them is always optional.
10. Our intellectual property
The Service, including its software, design, the "Viraldico" name and branding, and all related intellectual property, belongs to Viraldico or its licensors and is protected by law. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You may not copy, modify, distribute, reverse-engineer, or create derivative works from the Service except as the law expressly permits. A formal trademark screen for the "Viraldico" name has not yet been completed.
11. Privacy
Our Privacy Policy explains how we handle personal information, including our reading-privacy and library-confidentiality commitments and the role of our Payment Processor. By using the Service you acknowledge the Privacy Policy.
12. Termination
12.1 By you
You may stop using the Service and delete your account at any time. Canceling a paid plan is described in Section 6.4.
12.2 By us
We may suspend or terminate your access if you materially breach these Terms, if your use creates legal risk or harms other users or the Service, or if we are required to by law. Where practical and lawful, we will give you notice and an opportunity to address the issue. We may also discontinue the Service or a plan, in which case we will give reasonable notice and, for prepaid amounts covering a period after discontinuation, provide a pro-rata refund unless the law requires otherwise.
12.3 Effect of termination
On termination, your right to use the Service ends. Sections that by their nature should survive, including Sections 7.2 (residual license), 10, 13, 14, 15, 18, and 20, survive. We will handle your personal data as described in the Privacy Policy.
13. Disclaimers
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that meeting reminders or other notifications will always be delivered on time. You are responsible for your own club's decisions and arrangements, including any in-person meetings. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including certain rights of consumers.
14. Limitation of liability
To the fullest extent permitted by law, Viraldico and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising from or related to your use of, or inability to use, the Service. To the fullest extent permitted by law, our total liability for all claims relating to the Service in any twelve-month period will not exceed the greater of (a) the amount you paid us for the Service in that period and (b) USD 50. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you, and this section does not limit liability that cannot lawfully be limited.
15. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Viraldico from third-party claims, damages, and reasonable expenses arising out of your Content, your use of the Service in breach of these Terms, or your violation of law or of another person's rights. This section does not apply to the extent a claim arises from our own breach or wrongdoing, and it does not apply to consumers except as permitted by applicable law.
16. Changes to these Terms
We may update these Terms from time to time. If we make a material change, we will update the "Last updated" date and take reasonable steps to notify you before the change takes effect. Your continued use of the Service after the effective date of an update means you accept the revised Terms. If you do not accept them, you should stop using the Service and may cancel any paid plan.
17. Governing law
These Terms and any dispute arising out of them or the Service are governed by the laws of the Republic of Serbia, without regard to its conflict-of-laws rules, except that if you are a consumer resident elsewhere, you also benefit from any mandatory consumer-protection rules of your country of residence, and nothing in these Terms deprives you of the protection those mandatory rules give you. Subject to those mandatory consumer rules, the courts of the Republic of Serbia have jurisdiction over any dispute.
18. Dispute resolution
If you have a problem, please contact us first at the address in Section 21. Most issues can be resolved quickly and informally. Subject to the mandatory consumer rules referred to in Section 17, the competent courts identified in Section 17 will have jurisdiction over disputes.
19. Consumers in the EEA and elsewhere
If you are a consumer in the European Economic Area, you may have a statutory right to withdraw from a purchase within a set period. Where a subscription begins immediately at your request, that right may be limited as the law allows, and the Payment Processor's buyer terms address how withdrawal and refunds are handled. The European Commission's Online Dispute Resolution platform is available at ec.europa.eu/consumers/odr. This section does not limit any consumer right described in Section 17.
20. General
- Entire agreement. These Terms, the Privacy Policy, and any plan or institutional terms referenced here are the entire agreement between you and us regarding the Service.
- Severability. If any provision is found unenforceable, the rest remains in effect.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets, subject to the Privacy Policy.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
- Notices. We may give notices through the Service or by email; you can reach us at the address in Section 21.
